DRIVER TERMS & INDEPENDENT CONTRACTOR AGREEMENT

DRIVER TERMS & INDEPENDENT CONTRACTOR AGREEMENT

This Driver Agreement (“Agreement”) is entered into between:

Mars Jr LLC

Doing business as MyD.D. Rideshare

(“Company,” “we,” “our,” or “us”)

and

The individual registering as a driver on the MyD.D. Rideshare platform (“Driver,” “you,” or “your”).

By registering and using the MyD.D. Rideshare platform as a Driver, you agree to be bound by this Agreement.

1. Independent Contractor Relationship

Driver acknowledges and agrees that:

• Driver is an independent contractor.
• Nothing in this Agreement creates an employer-employee relationship.
• Driver is not entitled to benefits, workers’ compensation, unemployment insurance, or employee protections from Mars Jr LLC.
• Driver has full discretion over when, where, and how long to provide services.

Driver is solely responsible for all federal, state, and local taxes.

2. Driver Eligibility Requirements

To remain active on the platform, Driver must:

• Be at least 21 years of age
• Hold a valid U.S. driver’s license
• Maintain required vehicle registration and insurance
• Have at least one (1) year of licensed driving experience
• Pass any background or screening checks required by the Company

Failure to maintain eligibility may result in deactivation.

3. Vehicle Requirements

Driver agrees that any vehicle used for passenger transportation must:

• Be legally registered
• Be properly insured
• Be in safe operating condition
• Meet Company vehicle standards

The Company reserves the right to request proof of insurance, inspection, or registration at any time.

4. Use of the Platform

The Company provides a technology platform connecting Drivers with riders.

Driver agrees:

• The Company does not provide transportation services.
• Driver is solely responsible for providing transportation services.
• Driver determines acceptance or rejection of ride requests.

The Company may remove or deactivate Drivers who violate platform policies.

5. Compensation

Drivers will receive compensation per completed trip as displayed in the app.

Compensation may include:

• Base fare
• Per minute rate
• Per mile/km rate
• Surge or incentive pricing (if applicable)

The Company may deduct applicable service fees or platform fees as disclosed within the app.

All payments are processed via third-party payment processors.

The Company does not guarantee any minimum earnings.

6. Driver Conduct

Driver agrees to:

• Operate vehicles safely and lawfully
• Treat riders respectfully
• Comply with all traffic and transportation laws
• Maintain a professional standard of conduct

Driver may not:

• Discriminate against riders
• Harass or endanger riders
• Solicit cash payments outside the platform
• Operate under the influence of drugs or alcohol

Violation may result in immediate termination.

7. Insurance and Liability

Driver acknowledges:

• Driver is responsible for maintaining required personal auto insurance.
• The Company is not responsible for accidents, injuries, or damages caused by Driver.

Driver agrees to indemnify and hold harmless Mars Jr LLC from any claims arising from Driver’s actions while providing services.

8. Background Checks

Driver consents to background checks, driving record reviews, and identity verification as permitted by law.

The Company reserves the right to suspend or deactivate a Driver based on results.

9. Deactivation and Termination

The Company may deactivate Driver access for:

• Violation of this Agreement
• Safety concerns
• Fraudulent activity
• Excessive complaints
• Legal violations

Driver may discontinue use of the platform at any time.

10. Arbitration Agreement

Any disputes arising from this Agreement shall be resolved through binding arbitration in the State of South Carolina, except where prohibited by law.

Driver waives the right to participate in class-action lawsuits against Mars Jr LLC.

11. Limitation of Liability

To the fullest extent permitted by law, Mars Jr LLC shall not be liable for indirect, incidental, or consequential damages.

Total liability shall not exceed amounts earned by Driver within the last thirty (30) days prior to any claim.

12. Governing Law

This Agreement shall be governed by the laws of the State of South Carolina.
